Consultant, Owner), and the legal name of your company. Don’t
forget to include your contact details such as phone number
and email address.
Example: John Doe, Social Media Consultant, JD Media
Consulting.
Client Information: Specify the full name, title, and company
name of your client. Include their contact details
similarly.
Example: Jane Smith, Marketing Director, Acme Corp.
The Parties:
Clearly identify both parties involved: "the contractor" (you
or your company) and "the client" (the company receiving your
services). This establishes who is who in the contract.
Start Date and Duration:
Start Date: The exact date when the services are set to
begin.
Duration: Specify whether this is for a fixed term or an
ongoing term. If it’s for a fixed term, provide the end date.
For an ongoing term, outline the notice period required for
termination.
Tip: Be clear about the duration to avoid any future disputes
about the contract length.
Scope of Work:
List the specific social media platforms you will
manage.
Detail the types of services you'll provide, such as content
creation, scheduling, posting, engagement, monitoring, and
analytics.
Example: The contractor will schedule and post content to the
client's Instagram, Facebook, and Twitter accounts, including
4 posts per week per platform.
Specify who is responsible for creating content, designing
images, and other tasks.
Tip: Being detailed in the scope prevents scope creep and
ensures both parties are clear on deliverables.
Copyright and Intellectual Property:
Define who owns the content created. Will it be the
contractor or the client?
Example: All original content created by the contractor will
be owned by the client upon payment.
Confidentiality:
Outline what information is considered confidential and the
obligations of both parties to protect this information.
Tip: Include specifics on duration of confidentiality and any
exceptions.
Termination of Contract:
Define the conditions under which the contract can be
terminated by either party.
Example: This contract can be terminated by either party with
30 days' written notice.
Modification:
State that any changes to the contract must be agreed upon in
writing by both parties.
Force Majeure:
Include a clause that neither party is liable for delays or
failure to perform its duties under circumstances beyond their
control.
Governing Laws:
Specify the state laws under which the contract will be
governed.
Example: This contract shall be governed by the laws of the
State of California.
Payment:
Detail payment terms, including amounts, schedule, and any
required deposits.
Outline any late payment penalties or fees for additional
services not covered in the initial agreement.
Example: The client will pay the contractor a monthly fee of
$2,000. Invoices are due within 30 days of receipt. Late
payments will incur a fee of 1.5% per month.
IN WITNESS THEREOF:
Both parties should sign and date the contract to make it
legally binding.
